Kathmandu: Gurans Microfinance Bittiya Sanstha Limited has called its 11th Annual General Meeting (AGM) to approve the proposed dividend for fiscal year 2082/83 and discuss key financial and corporate agendas.
The decision to convene the AGM was endorsed by the company’s 169th Board of Directors meeting.
AGM Set for Kartik 10
According to the company, the 11th AGM will be held on Kartik 10, 2083 (October 27, 2026), at 9:00 AM. The meeting will take place at Hile Kanjirowa Makalu Hotel, Dhankuta Municipality–1, Hile, Dhankuta.
10 Percent Total Dividend Proposed
The AGM will consider a proposal to distribute a total 10 percent dividend from the profits of fiscal year 2082/83 based on the company’s current paid-up capital.
The proposed dividend consists of:
- 9.5 percent bonus shares, amounting to NPR 12,574,015
- 0.5 percent cash dividend for tax purposes, amounting to NPR 661,790
The proposed dividend will proceed for distribution only after receiving formal approval from the AGM.
Financial Statements on the Agenda
The AGM will discuss and approve the company’s annual report and auditor’s report for fiscal year 2082/83. Shareholders will also consider the company’s balance sheet, profit and loss account, and cash flow statement as part of the financial agenda.
Auditor Appointment for FY 2083/84
The meeting will also consider the appointment of the company’s statutory auditor for fiscal year 2083/84. The auditor will be appointed in accordance with Section 111 of the Companies Act, 2006, while the AGM will also determine the auditor’s remuneration.
Book Closure on Ashwin 28
Gurans Microfinance has announced a one-day book closure on Ashwin 28, 2083 (October 14, 2026) for the purpose of the AGM and proposed dividend.
Shareholders maintained in the NEPSE records up to Ashwin 27, 2083 (October 13, 2026) will be eligible to participate in the AGM and receive the dividend approved by the meeting.
Accordingly, investors purchasing the company’s shares after Ashwin 27 will not be eligible to participate in the AGM or receive the proposed dividend.
