Kathmandu, October 15, 2026 — Swabhimaan Laghubitta Bittiya Sanstha Limited has decided not to distribute dividends to its shareholders for the fiscal year 2082/83, choosing instead to retain its entire distributable profit to strengthen the institution’s reserve capital.
The decision was made during a meeting of the Board of Directors held on the morning of Ashwin 28, 2083 (October 14, 2026). Under the decision, the microfinance institution will not distribute either cash dividends or bonus shares to shareholders for the fiscal year.
No Cash Dividend or Bonus Shares
The board has decided against declaring any form of dividend for the fiscal year 2082/83. Accordingly, shareholders will not receive cash dividends or bonus shares based on the institution’s earnings for the period.
Instead, Swabhimaan Laghubitta plans to retain all distributable profits earned during the fiscal year. The decision is intended to strengthen the institution’s reserve capital and support its financial position.
Retaining earnings allows a financial institution to preserve its capital resources rather than distribute profits to shareholders. However, the board’s decision does not by itself establish the institution’s overall financial performance or future dividend policy.
Financial Statements to Be Submitted to Nepal Rastra Bank
During the same board meeting, the institution also decided to forward its financial statements for fiscal year 2082/83 to Nepal Rastra Bank (NRB) for regulatory approval.
The financial statements will be submitted for review before being presented to the institution’s upcoming Annual General Meeting (AGM).
Final Approval Awaiting Regulatory Review
Following approval from Nepal Rastra Bank, Swabhimaan Laghubitta will present its financial statements at the upcoming AGM for final adoption.
The regulatory approval and subsequent AGM process are important steps in completing the institution’s annual financial reporting procedures.
With its decision to retain earnings instead of distributing dividends, Swabhimaan Laghubitta Bittiya Sanstha Limited is prioritizing reserve capital accumulation for fiscal year 2082/83. The institution’s financial statements will proceed through the regulatory approval process before receiving final endorsement at the AGM.
